Advisors to Many Significant Deals
Since the expansion of the Quam Capital team in mid-2002, we have successfully completed more than 80 corporate finance advisory transactions. These include five takeovers of Hong Kong listed companies and four debt-restructuring and resumption proposals, three of which also involved introduction of new controlling shareholders from China. We have sponsored, underwritten and distributed two new listings for Sino-foreign joint ventures and one H share listing.
In 2005, Quam Capital acted as adviser to Hong Kong listed toy company, Matrix Holdings Limited in its acquisition of the US based Shelcore Toys group. We also acted as adviser to Europharm Laboratories Company Limited in its acquisition of the generics drug manufacturing business of Merck Pharmaceutical Limited in China. On the fund raising-side, Quam Capital Limited sourced and advised Actis China Limited in respect of its US$12.5m investment into Suntech Power Co. Limited, a transaction that was ranked as "Best Investment of the Year 2005" at the China Venture Capital Annual Ranking awards.
During 2006, we completed 23 transactions. On the advisory side, this included four !!ˇÓVery Substantial Acquisitions!!L and six independent advisory transactions. Clients included Geely Automobile and Fubon Bank. We also completed the restructuring, refinancing and relisting of Hong Kong Pharmaceutical, the public takeover of Galileo Capital Group, the privatization of Windsor Industrial and a rights issue for Anex Holdings.
On the mergers and acquisitions side, we advised the Singapore listed Eu Yan Sang group on the disposal of its pharmaceutical subsidiary Synco (HK) to the Jacobson Group; and Baltrans Holdings on the acquisition of Swedish firm Gothenberg Shipping (a deal handled through the network of M&A International Inc.). We also initiated and managed the disposal of Quam Data to the Hill Group and arranged debt financing for Build King Holdings Limited.
